Terms of Service
This document is a working draft and may change before it takes effect.
These Terms of Service (the "Terms") govern the use of "Koi Sonata (恋のソナタ)" (the "Service"), a communication service provided by PrismNexus Inc. (the "Company"). Users use the Service after agreeing to these Terms.
Article 1 (Application)
These Terms apply to all relations between the Company and users concerning the provision and use of the Service. Individual rules and guidelines posted by the Company form part of these Terms, and in the event of conflict the individual rules prevail.
Article 2 (Definitions)
- AI Character: a virtual conversation partner provided by the Company within the Service that responds using artificial intelligence. It is not a real person.
- Coins: the Company's electronic usage rights for paid features.
- Guest use: a state in which the Service may be used up to a certain number of times without membership registration.
Article 3 (Service Content · AI Disclosure)
The Service lets users interact with AI Characters through text chat, voice calls, video calls, and similar means. All conversation partners are AI (artificial intelligence) and are not real people. The Service is not intended for dating, meeting, or exchanging money with real people. Utterances, images, audio, and video generated by the AI are produced automatically, and the Company does not guarantee their accuracy or appropriateness.
Article 4 (Registration · Accounts)
Membership registration is applied for by the method prescribed by the Company (including email verification) and is established upon the Company's approval. Users must keep their registration information accurate and must not allow third parties to use their account or credentials.
Article 5 (Age · Eligibility)
The Service may only be used by persons aged 18 or older ([age requirement to be confirmed]). If registration by an ineligible person is discovered, the Company may suspend use or delete the account.
Article 6 (Coins and Paid Services)
Users purchase Coins to use paid features (messages, calls, viewing secret photos, etc.). Prices, purchase methods, and conditions follow the in-service display and commercial-transaction notices. Coins cannot be exchanged for cash, and the Company does not provide cash exchange or withdrawal. Coins may have an expiration period, and purchased Coins are non-refundable except where required by law.
Article 7 (Free Use · Guests)
The Company may provide guests with a limited number of free conversations, and the number and conditions may change without notice. Use beyond that requires membership registration and Coins. To prevent abuse, the Company may impose measures such as per-device or per-IP limits.
Article 8 (Prohibited Acts)
- Violating laws or public order and morals, or promoting or preparing criminal or illegal acts
- Infringing the rights (intellectual property, privacy, reputation, etc.) of the Company, other users, or third parties
- Sending or soliciting personal information such as phone numbers, email addresses, home addresses, or external messenger IDs, or inducing contact or transactions outside the Service
- Sending information harmful to minors or illegal content
- Unauthorized access, reverse engineering, misuse of automation tools, impersonation, or false registration
- Interfering with operations or damaging the Service's credibility, and any other act the Company reasonably deems inappropriate
Article 9 (Handling of Submitted Content)
The Company may store, use, and review submitted content to the extent necessary for providing the Service, improving quality, preventing fraud, and complying with law, and may perform automated inspection (moderation) to protect personal information. To generate AI responses, submitted content may be transmitted to third-party AI processing providers (see the Privacy Policy).
Article 10 (Secret Photos and Other Paid Content)
Some content is viewed by consuming Coins. The viewable period and any additional fee for re-viewing follow the in-service display, and content already viewed or used is in principle non-refundable.
Article 11 (Call Features)
Voice and video calls are calls with AI Characters, not with real people. They consume a prescribed amount of Coins, and call quality varies with the network environment and other factors.
Article 12 (Usage Restrictions · Account Suspension)
If the Company reasonably determines that these Terms have been violated or are likely to be violated, it may suspend use, delete content, or suspend/delete the account without prior notice.
Article 13 (Withdrawal)
Users may withdraw at any time. Data after withdrawal is handled in accordance with law and the Privacy Policy, and any remaining Coins are in principle not refunded.
Article 14 (Refunds · Cancellation)
Given the nature of digital content and Coins, refunds or cancellations after purchase are in principle not accepted except where required by law. Rights granted under mandatory law are not impaired. [Applicability of cooling-off and refund conditions to be confirmed]
Article 15 (Intellectual Property)
Intellectual property rights in the Service, AI Characters, images, audio, programs, trademarks, and the like belong to the Company or the rightful holders, and may not be copied, reproduced, or distributed beyond the scope of private use.
Article 16 (Disclaimer)
The Company does not guarantee the Service's fitness for a particular purpose, accuracy, or continued availability, and is not liable for damages arising from causes beyond its reasonable control, such as natural disasters, communication failures, or failures of third-party services (AI, payment, delivery). Liability for damages is limited, to the extent permitted by law, to [cap provision to be confirmed].
Article 17 (AI-Generated Output)
AI responses are automatically generated output and do not represent the views of the Company.
Article 18 (Change · Suspension · Termination of the Service)
The Company may change, suspend, or terminate the Service upon prior notice (or subsequent notice in an emergency).
Article 19 (Changes to the Terms)
The Company may change these Terms in accordance with law, and the amended Terms take effect from the time of posting or a time determined by the Company.
Article 20 (Governing Law · Jurisdiction)
These Terms are governed by [the laws of Japan], and any dispute shall be subject to the exclusive agreed jurisdiction of [the competent court] for the first instance.
